Terms of Service

These terms are the agreement between you and the operator of Elyvo Assist. By downloading, installing, or using the app, you accept them. If you do not accept them, do not use the app.

1. Who you are contracting with

Elyvo Assist is operated by IE Sergei Melnikov, an Individual Entrepreneur registered in Georgia under identification number 322749683, at Untsa, Adigeni Municipality, Georgia (“we”, “us”). Contact: [email protected].

2. What the service is

Elyvo Assist is a desktop application for macOS, Windows and Linux that runs alongside your other windows. Summoned by a hotkey or triggered by ambient mode, it reads the context of what you are doing — which may include meeting audio, screen content and calendar entries — and suggests a next move.

To do this, the app sends data to third-party AI and transcription providers. How that works, and who receives what, is described in our Privacy Policy, which forms part of these terms.

3. Your account

• You must be at least 16 years old to use Elyvo.
• You must give accurate registration details and keep your credentials secure.
• You are responsible for everything that happens under your account.
• One account is for one person. Do not share it.
• Tell us promptly if you suspect unauthorised access.

4. Points and payment

Elyvo runs on points, not a subscription. A point is the unit we measure the service in. Every new account receives 150 points at no charge. Using the app spends points: a live session costs roughly 150–250 points per hour, and the exact cost depends on the AI models involved and how heavily you use them. When your balance runs low you pay for another pack:

Prices are in US dollars and exclude any taxes you may owe locally. There is no recurring charge: nothing is billed until you pay for a pack yourself. Points do not expire, and every feature of the app is available on any balance — you are paying for use, not for a tier.

Who you are contracting with

The service is provided by us directly. Paying for a pack pays in advance for that volume of service; the service is delivered as you spend the points. Payment is taken in cryptocurrency through NOWPayments, a payment processor: they convert and settle the transaction and pass us the result. They never act as the provider, and we never see or store your wallet credentials. Points are credited to your balance once the payment is confirmed on-chain.

Spending, balance and refunds

• Points are spent as you use the app. A session that is already running is never cut off mid-way for lack of points, so your balance can go slightly negative; the next pack you buy settles it.
• Nothing renews. There is no subscription to cancel and no automatic charge — you buy points only when you choose to.
• Points do not expire, so an unused balance stays available on your account for as long as you want.
• For a refund, email [email protected] with the date and the amount of the payment. We refund the part you have not used yet — the points still on your balance. Points already spent paid for service that was delivered, so they are not returned. If a payment was taken in error, or the service failed through our fault, we refund it in full.

Where the law gives you a stronger right to withdraw or to a refund, or where the service was faulty, that right applies regardless of the paragraphs above.

5. Free points and fair use

The 150 free points exist so you can evaluate the app before paying anything. We may change that amount for future accounts, and we may suspend accounts that abuse it — for example by registering repeatedly to collect the grant again.

6. Acceptable use

You must not:

• Use Elyvo for anything unlawful, or to harm, harass or deceive others.
• Use Elyvo where its use is prohibited — for example in an exam, assessment, or hiring process that forbids assistance. If you use it in an interview or test, that is your decision and your responsibility.
• Attempt to break, overload, reverse-engineer or circumvent the service or its limits.
• Resell or redistribute the service, or use it to build a competing product.
• Feed the assistant content you have no right to process.

7. Recording and consent — your responsibility

Elyvo can transcribe meetings. Recording other people is regulated, and in many countries you must inform participants or obtain their consent before recording. Complying with those laws is entirely your responsibility. We provide a tool. We do not obtain consent for you, and we are not liable for your use of it. If you are unsure of the law where you are, do not record.

8. AI output — no guarantees

Elyvo’s suggestions are generated by AI models. They can be wrong, incomplete, outdated, or misleading, and they may misread your context entirely. You must judge anything the assistant tells you before acting on it.

Nothing Elyvo produces is legal, medical, financial, or other professional advice. Decisions you make on the basis of its output are yours alone.

9. Third-party services

Elyvo depends on third parties, including AI, transcription, calendar and email providers. Those services can change, degrade, or become unavailable, and if they do, parts of Elyvo may stop working. We are not responsible for third-party services, and your use of them is subject to their own terms.

10. Availability

Elyvo is provided on a best-effort basis. We do not promise any uptime level. We may change, suspend, or discontinue any part of the service, and we will try to give reasonable notice of material changes where we can.

11. Your content

You keep all rights to the content you bring to Elyvo — your audio, transcripts, screenshots, files and prompts. You grant us only the limited permission needed to operate the service for you: to process, transmit and store that content, including sending it to the providers listed in the Privacy Policy. We do not use your content to train our own models.

12. Our rights

The Elyvo application, its name, logo and design remain ours. These terms give you a personal, non-exclusive, non-transferable right to use the app, and nothing more.

13. Suspension and termination

You may stop using Elyvo and delete your account at any time. We may suspend or terminate your account if you breach these terms, if you use the service unlawfully, or if we are required to. Where it is reasonable to do so, we will warn you first.

14. Disclaimer and limitation of liability

Elyvo is provided “as is” and “as available”, without warranties of any kind, to the fullest extent the law allows.

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, for lost profit, data, opportunity or reputation, or for any outcome arising from a decision you took on the basis of the assistant’s output. Our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose.

Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud, or for death or personal injury caused by negligence. If you are a consumer, your statutory rights are unaffected.

15. Changes to these terms

We may update these terms as the product changes. The date at the top reflects the current version. If a change is material, we will tell you in the app or by email. Continuing to use Elyvo after a change means you accept the updated terms.

16. Governing law

These terms are governed by the law of Georgia, and disputes fall to the courts of Georgia. If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence.
